Please read these terms carefully before using our services

1. Agreement to Terms

By accessing or using Nexora's website design and development services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.

2. Services Overview

Nexora provides professional web design and development services including:

  • Custom Website Design and Development
  • E-commerce Solutions
  • Landing Pages
  • Website Redesign
  • Maintenance and Support Services
  • Additional services as mutually agreed upon

3. Service Packages and Duration

Standard Package

All standard website projects include 1 month of free support and maintenance from the date of project completion and delivery. This includes:

  • Bug fixes and technical issues
  • Minor content updates
  • Technical support via email/phone
  • Security updates

Special Offer Packages

We occasionally offer special promotional packages that may include extended support periods. When you avail a special offer package, you may receive:

  • 6 months of extended support and maintenance (instead of standard 1 month)
  • Priority technical support
  • Regular website backups
  • Performance optimization
  • Monthly website health reports

Special offer terms and inclusions will be clearly specified in your project proposal.

Extended Support Beyond Free Period

After your free support period (1 month or 6 months) expires, you may continue receiving support and maintenance services by:

  • Subscribing to a monthly maintenance plan
  • Purchasing support hours as needed
  • Opting for a yearly maintenance contract

Pricing for extended support will be provided upon request and must be agreed upon before services are rendered.

4. Payment Terms

4.1 Payment Structure

Unless otherwise agreed, our standard payment structure is:

  • 50% advance payment - Required before project initiation
  • 25% mid-project payment - Due upon completion of design/development milestones
  • 25% final payment - Due before final delivery and deployment

4.2 Payment Methods

We accept payments via:

  • Bank Transfer / NEFT / RTGS
  • UPI Payments
  • Online Payment Gateways
  • Other methods as mutually agreed

4.3 Payment Delays and Late Fees

Important: Payment delay policies

  • Payments must be made within 7 days of invoice issuance
  • After 7 days, a late fee of 2% per week will be applied to the outstanding amount
  • Projects may be suspended if payment is delayed beyond 15 days
  • Final deliverables will only be released upon full payment clearance
  • Access to project files, source code, and hosting may be withheld until payment is complete

4.4 Additional Payment Terms

  • All prices are quoted in INR (Indian Rupees) unless otherwise stated
  • Payment receipts will be provided for all transactions
  • Extra work beyond the agreed scope will be charged separately
  • Refunds are subject to our refund policy (see Section 8)
  • All quoted prices are final unless scope changes are requested

5. Project Scope and Changes

5.1 Scope Definition

The project scope will be clearly defined in the project proposal/contract. This includes features, pages, functionality, and deliverables.

5.2 Scope Changes

  • Changes to the agreed scope may result in additional costs and timeline extensions
  • All scope changes must be requested in writing
  • We will provide a revised quote and timeline for approval
  • Work on changes will commence only after written approval and payment

5.3 Revision Limits

Standard packages include a specified number of revision rounds (typically 2-3 rounds). Additional revisions beyond this limit will be charged separately.

6. Client Responsibilities

To ensure timely project completion, clients must:

  • Provide all necessary content, images, and materials in a timely manner
  • Provide clear and constructive feedback during review stages
  • Respond to queries and requests within reasonable timeframes
  • Make timely payments as per the agreed schedule
  • Provide access to hosting, domains, and third-party services as needed
  • Review and approve deliverables in a timely manner

Note: Delays in client responses or material provision may result in project timeline extensions without penalty to Nexora.

7. Intellectual Property Rights

7.1 Upon Full Payment

Upon receipt of full payment, all custom-designed website elements, code, and content created specifically for your project will be transferred to you.

7.2 Third-Party Resources

Some projects may use third-party resources (fonts, stock images, plugins, frameworks). Licenses for these resources are subject to their respective terms and conditions.

7.3 Portfolio Usage

Unless otherwise agreed, Nexora retains the right to use completed projects in our portfolio, case studies, and marketing materials.

8. Refund and Cancellation Policy

8.1 Cancellation by Client

  • Before project start: 75% refund of advance payment
  • During design phase: 50% refund of total paid amount
  • During development phase: 25% refund of total paid amount
  • After final delivery: No refund

8.2 Cancellation by Nexora

We reserve the right to cancel projects if client fails to fulfill their responsibilities or violates these terms. In such cases, refunds will be determined on a case-by-case basis.

9. Warranties and Limitations

9.1 Service Warranty

We warrant that:

  • Services will be performed with reasonable skill and care
  • Websites will function as intended at the time of delivery
  • Code will be free of known bugs and errors

9.2 Limitations

We do not guarantee:

  • Specific search engine rankings or traffic levels
  • 100% uptime (this depends on hosting providers)
  • Compatibility with all future browser or device updates
  • Immunity from all security threats

10. Liability Limitations

Nexora's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Issues arising from third-party services or hosting
  • Problems caused by client modifications to delivered work
  • Downtime due to hosting provider issues

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This obligation continues even after project completion.

12. Support and Maintenance After Free Period

After your included free support period expires (1 month or 6 months depending on package), you may purchase extended support. This is optional but recommended for:

  • Regular security updates and patches
  • Content updates and modifications
  • Performance monitoring and optimization
  • Backup and recovery services
  • Technical support and troubleshooting

Failure to maintain regular updates may result in security vulnerabilities. Nexora is not responsible for issues arising from lack of maintenance after the free support period.

13. Dispute Resolution

Any disputes arising from these terms will be resolved through:

  1. Good faith negotiation between parties
  2. Mediation if direct negotiation fails
  3. Arbitration or legal proceedings as a last resort

These terms are governed by the laws of India, and disputes will be subject to the jurisdiction of Indian courts.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
